Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the US Fabric Yard trade portal (the “Site”) and any purchase of goods through it. The Site and its pricing are reserved for verified trade professionals. By applying for an account, requesting a quote, or placing an order, you agree to these Terms. If you do not agree, do not use the Site.
1. Eligibility & trade accounts
The Site is for approved trade professionals only — interior designers, custom workrooms, and hospitality or contract buyers. You must apply and be approved before wholesale pricing is shown. We may approve, decline, suspend, or revoke any account at our discretion. You are responsible for keeping your login credentials confidential and for all activity under your account.
2. Confidential trade pricing
Wholesale and trade pricing shown after approval is confidential and provided solely for your business use. You agree not to publish, screenshot for redistribution, resell access to, or otherwise disclose this pricing to the public or to unapproved parties.
3. Quotes & order acceptance
Submitting a quote cart is a request, not a binding order. We review and confirm pricing, availability, and lead times. An order is formed only when we accept and confirm it in writing. We may decline or cancel any order — for example, for a pricing error, stock issue, or suspected non-trade use.
4. Pricing & payment
Prices are in US dollars and may change without notice until an order is confirmed. Obvious typographical or pricing errors are not binding on us. Applicable taxes, shipping, and handling are added at confirmation. Unless we agree otherwise in writing, payment is due in full on the invoice that accompanies your confirmed order, before goods are cut and shipped.
5. Cut-to-order goods
Fabric is sold by the yard and cut to the length you specify, from bulk rolls, at the time of your order. Cut yardage is a custom, made-to-order product prepared specifically for you. Once cut, it cannot be returned to the mill or restocked.
6. Returns, refunds & final sale
All sales are final once an order has been delivered. Because fabric is cut to order, we cannot accept returns or exchanges, or issue refunds, on delivered goods — except as set out below for verified defects, transit damage, or our shipment errors.
- Inspect on receipt. You must inspect all goods within five (5) business days of delivery and notify us in writing of any defect, transit damage, shortage, or shipment error within that window. Claims made after five business days are waived.
- Remedy for defect or our error. For goods that are defective, damaged in transit, or shipped in error and reported within the window, our sole remedy — at our option — is replacement of the affected yardage or a credit or refund of the affected portion. We may require return of the affected goods.
- No remedy applies to: color, texture, or dye-lot variation within normal commercial tolerance (see §7); fabric cut to the length you ordered; goods that have been cut further, processed, treated, applied, or installed by you or a third party; or ordering the wrong item or quantity.
- Swatches. Free swatches let you confirm hand, color, and texture before ordering yardage. Ordering swatches first is strongly recommended and reduces variation disputes.
7. Color, dye lot & specification variation
Natural and manufacturing variation occurs between dye lots and between on-screen images and physical goods. Screen colors are approximate. We do not guarantee an exact match to images, to a prior order, or to a different dye lot. Technical specifications — composition, width, weight, abrasion, fire rating, and the like — are provided by the mills and suppliers; we pass them through and do not independently certify them. Confirm any specification critical to your application against a physical sample before ordering.
8. Shipping, title & risk of loss
Orders ship from our US warehouse, typically via FedEx Ground. Lead times are estimates, not guarantees. Unless we agree otherwise in writing, title and risk of loss pass to you upon delivery of the goods to the carrier. Transit damage must be reported within the window in §6.
9. Intended use & suitability
You are responsible for confirming a fabric’s suitability for your intended application — for example upholstery, outdoor, marine, contract or hospitality use, or fire-rating requirements. We are not liable for unsuitability where the required specification was not confirmed with us in writing before the order.
10. Disclaimer of warranties
Except for any express written warranty, all goods are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all implied warranties, including the implied warranties of merchantability and fitness for a particular purpose.
11. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the goods or the Site will not exceed the amount you paid for the goods giving rise to the claim. We are not liable for any indirect, incidental, consequential, or special damages, including lost profits, labor, or installation costs.
12. Intellectual property & acceptable use
The Site, its content, and its catalog data are owned by us or our licensors and may not be copied, scraped, harvested by automated means, reverse-engineered, or redistributed without our permission. You may not attempt to access non-public data or use the Site to compete with us. We may rate-limit or block abusive traffic.
13. Indemnification
You agree to indemnify and hold us harmless from claims arising out of your breach of these Terms or your use, processing, resale, or installation of the goods.
14. Governing law & disputes
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or relating to these Terms or the goods is the state and federal courts located in Richland County, South Carolina, and you consent to their jurisdiction.
15. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date above reflects the current version. Your continued use of the Site after a change takes effect constitutes acceptance of the updated Terms.
